PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Overland Advantage (the “Company”) is filing this Form 12b-25 (Notification of Late Filing) to seek an extension of the filing deadline for its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2025 (the “Quarterly Report”) pursuant to Rule 12b-25 promulgated under the Securities Exchange Act of 1934, as amended (“Rule 12b-25”).

The Company is unable to file the Quarterly Report by the prescribed filing deadline without unreasonable effort and expense, because it requires additional time to complete the review and necessary approvals for its financial statements to be included in the Quarterly Report. The Company currently expects to file the Quarterly Report within the five calendar-day extension period provided under Rule 12b-25.
