Closing and hurdles

Closing is expected in Q1 2027, subject to:
  • Boliden shareholder approval of the new-share issuance by a simple majority;
  • Nexa shareholder approval of the new board;
  • competition, Swedish foreign-investment and other regulatory approvals; and
  • customary closing conditions.
After closing, Boliden must commence a cash voluntary tender offer for the remaining Nexa shares within 30 days, or within 60 days in certain circumstances. The price will be based on 0.25× Boliden’s 20-trading-day VWAP immediately before closing.
> Current-price indication — August 27, 2026: Boliden trades at SEK 566.00, implying SEK 141.50 per Nexa share, or approximately $14.83 using the announcement’s SEK 9.54/USD reference rate. This is illustrative only; the actual tender price will depend on Boliden’s future pre-closing VWAP and the final offer’s currency-conversion terms.
