This Schedule 14D-9 filing relates solely to preliminary communications made before the commencement of a planned tender offer (the “Offer”) by Ambience Merger Sub, Inc., a Delaware corporation (“Merger Sub”), an indirect wholly owned subsidiary of Ambience Parent, Inc., a Delaware corporation (“Parent”), for all of the outstanding shares of common stock, par value $0.01 per share of At Home Group Inc., a Delaware corporation (the “Company”), to be commenced pursuant to the terms of the Amended and Restated Agreement and Plan of Merger, dated as of June 16, 2021, by and among the Company, Parent and Merger Sub. Merger Sub and Parent are controlled by affiliates of Hellman & Friedman LLC. If successful, the Offer will be followed by a merger of Merger Sub with and into the Company (the “Merger”).
